Terms and Conditions

These Terms and Conditions govern the sale of products by S Level Limited, trading as SleepySeat ("SleepySeat", "we", "our", "us").

By purchasing products from SleepySeat, requesting a quote, or using our website, you agree to these Terms and Conditions.


1. Product Condition

SleepySeat makes reasonable efforts to accurately display products and describe their condition.

Customers acknowledge that:

  • Product photographs are for illustrative purposes and may not show every cosmetic imperfection.
  • As products are second-hand or refurbished, colour, fabric condition, finish, and appearance may vary between individual items.
  • Minor scratches, marks, scuffs, fading, and other cosmetic wear consistent with previous use do not constitute faults.
  • Refurbished products may contain replacement components or parts.
  • Product availability is subject to stock on hand.

We encourage customers to inspect products before purchase where possible.


1A. Acknowledgement of Used Furniture

By purchasing from SleepySeat, the customer acknowledges that:

  • The product is second-hand, refurbished, or pre-owned unless explicitly stated otherwise.
  • Normal cosmetic wear and signs of prior use may be present.
  • Such cosmetic wear does not affect the product's intended functionality and is not grounds for refund, replacement, or warranty claim.


2. Pricing and Quotations

All prices are stated in New Zealand Dollars (NZD) unless otherwise specified.

Written quotations issued by SleepySeat:

  • Are valid for 7 days from the quotation date.
  • Are subject to stock availability
  • May be withdrawn or amended after expiry

SleepySeat is under no obligation to reserve, hold, or remove products from sale unless a deposit or full payment has been received.


2A. Price Match Policy

 We aim to offer competitive pricing on our office chair repair and office relocation services.

If you provide a current written quote from a legitimate competitor for the same service at a lower price, we will match that price and beat it by 5%, subject to the following conditions:


  • The competitor’s quote must be current, valid, and in writing.
  • The quote must cover substantially the same scope of work, including service specifications, quantities, locations, timing, and any applicable fees or charges.
  • The competitor must be a bona fide New Zealand-based business that offers the relevant service as part of its normal business operations.
  • The quote must be shown to us before you accept our quotation or place your order.
  • We may verify the quote and may reject your request if the quote is incomplete, misleading, contains errors, or cannot be verified.
  • This guarantee does not apply to liquidation sales, clearance sales, promotional offers, auction listings, insurance claims, government tenders, or prices resulting from pricing errors.
  • The 5% discount will be calculated on the verified competitor’s total quoted price for the equivalent service.
  • This offer cannot be combined with any other discount, promotion, or special pricing arrangement unless we agree otherwise in writing.


We may amend or withdraw this Price Match Guarantee at any time without notice. It applies to services only and does not apply to products. 


3. Payment

Payment must be made in full before collection or delivery unless otherwise agreed in writing.

Accepted payment methods may include:

  • Bank transfer
  • Credit card
  • Cash
  • Other payment methods advertised by SleepySeat

Ownership of goods remains with SleepySeat until payment has been received in full.


4. Deposits and Reserved Stock

Where SleepySeat agrees to reserve stock:

  • A deposit may be required.
  • Reserved items will only be held for the agreed period.
  • Deposits are non-refundable if the customer cancels the order or fails to complete payment within the agreed timeframe.


5. Delivery and Collection

Customers must ensure delivery information is accurate.

Delivery dates provided by SleepySeat are estimates only and may be affected by factors beyond our control.

Risk in the goods passes to the customer upon:

  • Delivery to the nominated address; or
  • Collection by the customer or their representative.

Customers must inspect goods promptly upon receipt.

5A. Assembly Responsibility

Where products require assembly, adjustment, or installation by the customer:

  • The customer is responsible for ensuring the product is assembled correctly and safely.
  • SleepySeat is not liable for damage, defects, injury, or loss arising from incorrect assembly, modification, or installation by the customer or any third party.

Any assembly instructions provided are supplied as guidance only.

5B. Collection of Goods

Customers collecting goods from SleepySeat are responsible for:

  • Ensuring the goods are suitable for transportation.
  • Securing products appropriately during transit.
  • Inspecting products before leaving the collection location.

Once goods have been collected, risk passes immediately to the customer.


6. Returns and Exchanges

Change of Mind

SleepySeat does not provide refunds for change-of-mind purchases.

Exchanges

Products may be exchanged within 5 calendar days of the purchase date provided:

  • The product is returned in the same condition as sold.
  • The product has not been damaged, modified, or misused.
  • Proof of purchase is provided.

Any price difference between exchanged items must be paid by the customer or may be issued as store credit at SleepySeat's discretion.

Shipping, delivery, and collection charges are non-refundable.

6A. Clearance, As-Is, and Final Sale Items

From time to time, SleepySeat may offer products for sale as:

  • Clearance items
  • As-Is items
  • Damaged stock
  • Ex-display stock
  • Final Sale items

Such products may be sold at a reduced price due to cosmetic defects, wear, missing packaging, discontinued status, or other disclosed conditions.

Where a product is sold as Clearance, As-Is, Damaged Stock, Ex-Display, or Final Sale:

  • The specific condition of the product will be disclosed where reasonably possible.
  • Customers acknowledge that they have purchased the product with knowledge of its disclosed condition.
  • These products are not eligible for exchange due to cosmetic defects, appearance, wear and tear, or issues that were disclosed prior to purchase.
  • Change-of-mind returns and exchanges are not available for these products.

Nothing in this clause limits any rights a customer may have under the Consumer Guarantees Act 1993 or any other applicable New Zealand law.

6B. Store Credit

Where SleepySeat agrees to provide a remedy that is not required by law, SleepySeat may, at its discretion, offer store credit instead of a refund.

Store credit:

  • Is valid for 12 months from the date of issue.
  • Is non-transferable.
  • Cannot be redeemed for cash.
  • Must be used toward future purchases from SleepySeat.

6C. Non-Refundable Delivery Charges

Delivery, freight, shipping, assembly, installation, and collection fees are non-refundable once the service has been performed.

Where an exchange is approved, the customer is responsible for any additional delivery, collection, or transportation costs unless otherwise agreed by SleepySeat.


7. Warranty

SleepySeat provides a 3-month warranty on chair mechanisms from the original date of purchase.

The warranty covers defects affecting the operation of:

  • Gas lift mechanisms
  • Recline mechanisms
  • Tilt mechanisms
  • Other mechanical adjustment functions

The warranty does not cover:

  • Cosmetic wear and tear
  • Fabric wear
  • Mesh wear
  • Scratches, marks, or stains
  • Armpads, unless defective at sale
  • Damage caused by misuse, abuse, neglect, accidents, improper assembly, or modification
  • Normal wear resulting from commercial or intensive use

SleepySeat may, at its discretion:

  • Repair the product;
  • Replace the defective component; or
  • Provide a comparable replacement product.

The warranty is non-transferable and applies only to the original purchaser.

7A. Warranty Claim Procedure

To make a warranty claim, customers must:

  • Notify SleepySeat within the warranty period.
  • Provide proof of purchase.
  • Provide photographs, videos, or other information reasonably requested by SleepySeat.

Customers must not attempt repairs without prior approval from SleepySeat, as doing so may void the warranty.

7B. Commercial and High-Use Environments

The 3-month mechanism warranty is intended for normal office use.

The warranty does not apply to defects caused by:

  • Excessive or abnormal use.
  • Continuous 24-hour operation.
  • Call centres, control rooms, factories, workshops, educational institutions, shared workspaces, or similar high-use commercial environments.
  • Improper use beyond manufacturer recommendations.


8. Consumer Guarantees Act

Nothing in these Terms and Conditions limits any rights available to consumers under the Consumer Guarantees Act 1993 or any other applicable New Zealand law.

Where goods are acquired for business purposes, and the Consumer Guarantees Act permits contracting out, the parties agree that the provisions of the Consumer Guarantees Act 1993 shall not apply.

8A. Exclusions from Warranty

Without limiting any rights under New Zealand consumer law, the warranty does not cover:

  • Cosmetic defects disclosed before purchase.
  • Normal wear and tear.
  • Fabric deterioration.
  • Mesh stretching or wear.
  • Minor movement, noise, or creaking consistent with normal use.
  • Damage caused during transport after collection.
  • Damage caused by pets.
  • Damage caused by improper cleaning products.
  • Water damage.
  • Fire, flood, or other external events.


9. Limitation of Liability

To the maximum extent permitted by law:

  • SleepySeat's liability is limited to the purchase price of the relevant product.
  • SleepySeat is not liable for indirect, consequential, incidental, or special losses.
  • SleepySeat is not responsible for loss of business, loss of profits, or loss arising from delays in delivery.


10. Product Availability

Products are offered subject to availability.

SleepySeat reserves the right to:

  • Correct pricing errors;
  • Cancel orders arising from genuine pricing mistakes;
  • Refuse orders where stock is unavailable.

If payment has already been received for unavailable products, a full refund will be provided.

10A. Reserved Stock and Abandoned Orders

Where SleepySeat agrees to reserve products:

  • Reserved stock may require a deposit or full payment.
  • Stock will only be held for the agreed reservation period.

For paid orders awaiting collection:

  • Customers must collect products within 30 days unless otherwise agreed.
  • SleepySeat may charge reasonable storage fees after 30 days.
  • If products remain uncollected for more than 90 days and reasonable attempts to contact the customer have failed, SleepySeat reserves the right to cancel the order, retain reasonable costs incurred, and resell the goods.

10B. Force Majeure

SleepySeat shall not be liable for any delay or failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to:

  • Natural disasters
  • Floods
  • Fires
  • Transport disruptions
  • Industrial disputes
  • Government restrictions
  • Power outages
  • Supplier shortages


11. Website Information

We make reasonable efforts to ensure product descriptions and pricing are accurate.

However, errors may occasionally occur. SleepySeat reserves the right to correct any errors or omissions without notice.

11A. Right to Refuse Orders

SleepySeat reserves the right to refuse or cancel any order where:

  • Products are no longer available.
  • A pricing or listing error has occurred.
  • Fraudulent activity is suspected.
  • The customer has provided incorrect information.
  • The customer breaches these Terms and Conditions.

Where payment has already been received, SleepySeat's liability shall be limited to refunding the amount paid.

11B. Website and Product Information

While SleepySeat takes reasonable care to ensure website information is accurate, we do not guarantee that:

  • Product descriptions are error-free.
  • Colours displayed on screens accurately represent actual products.
  • The website will operate without interruption or technical issues.



12. Governing Law

These Terms and Conditions are governed by the laws of New Zealand.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the New Zealand courts.

13A. Privacy

Any personal information collected by SleepySeat will be handled in accordance with our Privacy Policy and applicable New Zealand privacy laws.

13B. Amendments

SleepySeat may update these Terms and Conditions from time to time.

Any revised version will become effective once published on the website.
